Welcome to NEXQAF. These Terms of Service (“Terms”) govern your access to and use of the website located at https://www.nexqaf.com and the digital services, Website-as-a-Service (WaaS) solutions, software configurations, and marketing management provided by NEXQAF LTD (“we,” “us,” or “our”), a company registered in England and Wales.

By accessing our website, contracting our services, or making payment on an invoice or subscription, you agree to be bound by these Terms.

2. Services Offered

NEXQAF provides digital infrastructure, development, and growth solutions for businesses, including:

  • Website-as-a-Service (WaaS) design, development, and managed cloud hosting.

  • White-label CRM implementation, workflow architecture, and client portal provisioning (via HighLevel).

  • Paid Advertising Management (Meta Ads, Google Ads).

  • Search, Answer, and Generative Engine Optimization (SEO, AEO, GEO).

  • Custom AI Automation workflows and API integrations.

3. WaaS Subscriptions and Intellectual Property

Our Website-as-a-Service (WaaS) solutions operate on a managed infrastructure subscription model:

  • Client Ownership: You retain 100% full ownership of your registered domain names, logos, branding assets, trademarks, and original written copy supplied to us.

  • Agency IP & Infrastructure: NEXQAF LTD retains exclusive ownership, copyright, and intellectual property rights over all proprietary website templates, custom source code, HighLevel snapshots, automation workflows, backend database architectures, and API integrations developed by us.

  • Cancellation & Hosting: Upon cancellation of a WaaS subscription, your website hosting and connected CRM sub-account access will be terminated. We do not export, package, transfer, or license our proprietary snapshots or backend infrastructure to external third-party hosts or personal client accounts.

4. Billing, Invoicing, and Ad Spend

  • Payment Processing: All transactions and recurring subscriptions are processed securely via our approved payment and banking partners, including Stripe, Airwallex, Wise, and PayPal.

  • Subscriptions & Retainers: Monthly recurring fees are automatically charged every 30 days. Setup and onboarding fees are strictly non-refundable once service provisioning or design work has commenced.

  • Third-Party Ad Spend: For clients utilizing paid media services (Meta Ads, Google Ads), all advertising spend is paid directly by the client to the advertising platforms via the client’s own payment method. NEXQAF management fees do not include advertising budgets.

  • Payment Failure & Suspension: If a subscription payment fails, a 7-day grace period applies. If payment is not settled within 7 days, NEXQAF reserves the right to temporarily suspend hosting, CRM access, and marketing campaigns until the account is brought current.


5. Cancellations

You may cancel an ongoing WaaS or monthly retainer subscription at any time by providing a 30-day written notice to contact@nexqaf.com.

 

6. Limitation of Liability

To the maximum extent permitted by the laws of England and Wales, NEXQAF LTD shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, lost profits, data loss, third-party platform policy enforcements (e.g., ad account suspensions by Meta or Google), or business interruptions. Our total liability for any claim under these Terms shall not exceed the total amount paid by you to NEXQAF LTD during the three (3) months immediately preceding the event giving rise to the claim.

 

7. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any disputes.
